Membership
1. Member Benefits: The Committee for Adelaide member benefits are listed in the membership prospectus and are subject to change. If any Committee for Adelaide member benefit item does not proceed, Committee for Adelaide will use reasonable endeavours to provide advance notice to Members after becoming aware the member benefit item will not proceed. Committee for Adelaide reserves the right to amend the membership program or refine the offering to benefit the member. Every effort will be made to maximise member benefits wherever reasonably possible in addition to any outlined benefits.
2. Membership Term: Membership of the Committee for Adelaide is subject to payment of an annual membership fee for a period of 12 months, unless otherwise notified. Annual membership commences on the date of payment of the membership invoice. Each renewal of membership is for a further period of 12 months.
3. Membership Fees: The annual membership fee is a fee based on the membership category selected by the member and detailed on your membership form and invoice. The amount due on any membership fee invoice (original or renewal, including any amended invoice), must be paid within 14 days of the date of the invoice. Membership fees are not refundable upon membership resignation. The membership fee may be reviewed from time to time and is subject to an increase as determined by the Committee for Adelaide board. Notice will be given of any change to the annual membership fees at least 30 days prior to the date of the member’s next renewal after the membership fee increase.
4. Intellectual Property: In cases where intellectual property is jointly developed through collaborative efforts of Committee for Adelaide, ownership shall be determined through mutual agreement between the parties involved. Both parties shall have non-exclusive rights to use and commercialise such intellectual property for purposes of advancing the objectives of Committee for Adelaide, unless otherwise agreed upon in writing.
5. Branding: Committee for Adelaide agrees to use the logos, trademarks and other corporate branding of the members solely in accordance with any instructions provided by the Member. The member retains all Intellectual Property Rights in its logo and materials provided to Committee for Adelaide and grants a nonexclusive licence to reproduce and publish the member’s logo and any materials.
6. Relationship: No legal partnership, agency, employment, joint venture or sponsorship is created, and no fiduciary relationship exists between the parties.
7. Reputation: The parties agree to use their best endeavours to preserve and protect the other party’s reputation during the term of the member’s membership with the Committee for Adelaide.
8. Trade Practices: All activities shall be conducted in accordance with the relevant competition and antitrust laws. Members shall not engage in any activity, discussion, or conduct that may infringe on any applicable law.
9. Privacy: Committee for Adelaide complies with Australian privacy law and does not provide contact lists or individual contact details to members or any other third parties unless agreed to by all parties.
10. Termination: Each party is entitled to terminate the membership upon 30 days written notice to the other party. Membership fees are not refundable upon termination by the member.
11. Termination Process: In the event of membership being terminated, each party will immediately remove all of the other party’s logos and any other recognition from all materials and documents promoting the Membership.
12. Force Majeure: Where one party is unable to carry out its obligations due to circumstances beyond its control or which it could not have reasonably prevented, those obligations are suspended whilst those circumstances continue, provided the other party is notified and the first party uses its best endeavours to overcome the circumstances preventing its obligations from being carried out.
13. Entire Agreement: These terms and conditions constitutes the entire agreement between the parties as to its subject matter, and in relation to its subject matter, supersedes any prior understanding or agreement between the parties and any prior condition, warranty, indemnity or representation imposed, given or made by either party.
14. Limitation of Liability: The Committee for Adelaide is not liable for any loss or damage caused to a member due to the non-provision of membership benefits to that member as a result of the suspension or cancellation of such services to the member, or as a result of the Committee for Adelaide changing the member benefits it provides, or no longer offering member benefits in the exercise of its discretion. The Committee for Adelaide does not accept any responsibility or liability for any losses incurred in contract, tort, negligence, or any other cause of action, or any liability for any loss of profit, loss of opportunity, loss of revenue, loss of data, loss from computer viruses or any indirect or consequential loss.
15. Terms and Conditions: Membership of the Committee for Adelaide requires that members agree that the Committee for Adelaide may change these terms and conditions at any time and that the Committee for Adelaide will publish any change to its terms and conditions on its website.
